By accessing or using Araeo's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.

2. Description of Service

Araeo provides AI-powered automation tools for CAD software, including but not limited to:

  • Natural language automation for CAD workflows
  • Integration with various CAD platforms
  • Excel and data synchronization services
  • Team collaboration features
  • Custom automation development

3. User Accounts and Registration

Account Creation

To access certain features of our service, you must create an account. You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

Account Eligibility

You must be at least 18 years old and have the authority to enter into this agreement. If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

4. Acceptable Use Policy

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Upload malicious code or attempt to compromise our systems
  • Interfere with other users' access to the service
  • Use our services for competitive intelligence gathering
  • Reverse engineer or attempt to extract our source code
  • Share your account credentials with unauthorized users

Professional and Industry-Specific Restrictions

Given the professional nature of our CAD automation services, you also agree:

  • Professional Responsibility: To use our services in accordance with professional engineering standards and codes of ethics
  • Data Rights: To only upload data for which you have appropriate rights and permissions
  • Export Controls: Not to use our services to process data subject to export control laws without proper authorization
  • Safety-Critical Applications: To implement appropriate review and validation processes for safety-critical or life-safety designs
  • Third-Party IP: Not to upload designs or data that infringe on third-party intellectual property rights
  • Confidential Information: To respect confidentiality agreements and proprietary information of your employers or clients
  • Regulatory Compliance: To ensure your use complies with industry-specific regulations applicable to your profession or projects

5. Intellectual Property Rights

Our Rights

Araeo and its licensors own all rights, title, and interest in the service, including all software, technology, content, and trademarks. These terms do not grant you any intellectual property rights except as explicitly stated.

Your Content

You retain ownership of your CAD files, data, and content. By using our services, you grant us a limited license to process your content solely to provide our services. We do not claim ownership of your content.

Generated Content

Content generated through our AI automation tools is owned by you. However, similar outputs may be generated for other users based on similar inputs.

6. Privacy and Data Protection

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these terms by reference.

Key privacy commitments:

  • We do not sell your personal information
  • Your CAD files are processed locally when possible
  • We implement industry-standard security measures
  • You have rights to access, modify, and delete your data

CAD and Engineering Data Special Protections

Given the sensitive nature of engineering and design data, we implement additional protections:

  • Intellectual Property Rights: You retain all rights, title, and interest in your CAD files, designs, and technical data
  • Confidentiality: We treat all technical data as confidential information subject to enhanced security measures
  • Data Processing Limitations: We only process your technical data as necessary to provide our automation services
  • No Derivative Use: We do not use your technical data to create competing products or services
  • Secure Deletion: Upon termination, all copies of your technical data are securely deleted within 30 days

7. Subscription Terms and Payment

Subscription Plans

Payment Terms

  • Subscription fees are billed in advance
  • All fees are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failed payments may result in service suspension

Free Trials

Free trials are subject to usage limitations and may require a valid payment method. Trials automatically convert to paid subscriptions unless cancelled.

8. Service Availability and Support

Service Level

We strive to maintain high service availability but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

Support

Support levels vary by subscription tier. We aim to respond to support requests within:

  • Individual: Community support
  • Professional: 24-48 hours
  • Mid-Market: 4-12 hours
  • Enterprise: 2-4 hours

9. Termination

By You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period.

By Us

We may terminate your access if you:

  • Violate these terms of service
  • Fail to pay subscription fees
  • Use our services in ways that harm our business or other users

Effect of Termination

Upon termination, your access to the service will end, and we may delete your data after a reasonable retention period for backups and legal compliance.

10. Disclaimers and Limitation of Liability

Disclaimers

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law, our total liability to you for all claims arising from these terms or your use of our services shall not exceed the amounts paid by you to us in the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.

12. Dispute Resolution and Arbitration

Governing Law

These terms are governed by the laws of the State of Texas without regard to conflict of law principles.

Informal Dispute Resolution

Before filing any legal action, you agree to attempt to resolve disputes through direct communication with our support team at legal@araeo.com. We will work in good faith to resolve any disputes within 60 days of receiving notice.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms of Service or your use of our services shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • The arbitration will be conducted in Dallas, Texas, or remotely by mutual agreement
  • The arbitration will be decided by a single arbitrator
  • The arbitration will be conducted in English
  • Each party will bear its own costs and fees, including attorney fees
  • The arbitrator's decision will be final and binding

Class Action and Jury Trial Waiver

YOU AND ARAEO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

You and Araeo expressly waive the right to:

  • Participate in class action lawsuits
  • Participate in representative actions
  • Participate in collective actions
  • Participate in multi-party actions
  • Trial by jury in any legal proceeding
  • Join your claims with those of other users

This class action waiver applies to all claims, whether based in contract, tort, statute, regulation, or any other legal theory. If a court finds this class action waiver unenforceable, then the arbitration clause above shall be null and void, but the remainder of these terms shall remain in effect.

Exceptions to Arbitration

The following disputes are not subject to arbitration:

  • Disputes relating to intellectual property rights
  • Claims for injunctive or equitable relief
  • Small claims court actions (up to the jurisdictional limit)
  • Claims alleging violations of computer fraud and abuse laws

30-Day Right to Opt Out

You have the right to opt out of arbitration and class action waiver by sending written notice to legal@araeo.com within 30 days of first accepting these terms. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration.

13. Changes to Terms

We may update these terms from time to time. We will notify you of material changes by email or through our service. Your continued use after notification constitutes acceptance of the updated terms.

14. Professional Use and Industry Standards

Professional Licensing and Standards

Our services are designed to support professional engineering and design workflows. Users acknowledge and agree that:

  • Professional engineers and licensed professionals remain responsible for ensuring compliance with applicable professional licensing requirements
  • All designs and outputs should be reviewed and approved by appropriately licensed professionals where required by law or professional standards
  • Our AI automation tools are designed to assist, not replace, professional judgment and expertise
  • Users are responsible for ensuring final designs meet applicable building codes, safety standards, and regulatory requirements

Quality Assurance and Validation

While our services are designed to high standards, users acknowledge that:

  • All automated outputs should be reviewed and validated before use in production environments
  • Critical or safety-critical applications require appropriate verification and testing procedures
  • Users should implement quality assurance processes appropriate to their industry and project requirements
  • We recommend maintaining backup and version control systems for all project data

We work to support common industry compliance requirements, including:

  • ISO 9001 quality management systems
  • Industry-specific standards (AEC, manufacturing, etc.)

Entire Agreement

These terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding our services.

Severability

No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
